Language

If you agree to these terms and conditions in English, you declare to have sufficient command of the English language to understand them. Studio Panta Rhei has also drawn up the terms and conditions in the Dutch language. These can be found on Studio Panta Rhei’s website. These English-language terms and conditions are a translation of the terms and conditions drawn up in Dutch. In the event of a difference in interpretation, the Dutch translation and Dutch law will apply. These terms and conditions have also been drawn up in English because of the international scope of Studio Panta Rhei’s activities. Suppose you have insufficient command of either Dutch or English to sufficiently understand these terms and conditions. In that case, we assume that you have taken responsibility for preparing a proper translation yourself, with or without adequate assistance from a third party. If that fails, we recommend choosing an organisation more appropriate to your language background.

Definitions

  1. Studio Panta Rhei: Studio Panta Rhei, located at Zomereik 43, 2498 BT The Hague, The Netherlands, Chamber of Commerce no. 27321329. The owner of Studio Panta Rhei is Marie Christine Filip.
  2. Client or participant: the person or legal entity with whom Studio Panta Rhei has entered into an agreement to provide services or supply a product. Where ‘you’ is mentioned in the text, ‘client’ or ‘participant’ is meant.
  3. Parties: Studio Panta Rhei and client together, or any other definition as stated in the paragraph when used in a different context.
  4. Site(s) or website(s): all websites and their pages under the management and ownership of Studio Panta Rhei.
  5. Reservation: an agreement to participate in a workshop, seminar, event, (online) training, meeting, coaching session or coaching program.

Applicability

  1. These general terms and conditions apply to all quotations, offers, activities, orders, agreements and deliveries of services or products by or on behalf of Studio Panta Rhei.
  2. The parties can only deviate from these terms and conditions if they have expressly agreed to this in writing.
  3. The parties expressly exclude the applicability of additional and/or deviating general terms and conditions of the client or third parties.
  4. By accessing or using the Website(s), you expressly agree to these terms and conditions without any further explanation being required. If you do not agree to these terms and conditions, you should not use the website or purchase any products or services from Studio Panta Rhei.
  5. Dutch law applies to all legal relationships related to or arising from an agreement.
  6. The parties agree that any disputes shall be exclusively submitted to the competent court in The Hague.

Prices

  1. All prices used by Studio Panta Rhei are in euros, including VAT and excluding any other costs such as administration costs, levies and travel, shipping or transport costs, unless explicitly stated otherwise or otherwise agreed.
  2. Studio Panta Rhei has the right to adjust all prices for its products or services, shown in its store, on its website or otherwise, at any time.
  3. Increases in the cost prices of products or parts thereof, which Studio Panta Rhei could not foresee at the time of making an offer or concluding the agreement, may give rise to price increases. Studio Panta Rhei will inform those involved as soon as possible if Studio Panta Rhei is forced to pass them on.
  4. The consumer has the right to terminate an agreement as a result of a price increase as referred to in this section ‘Prices’, unless the increase is the result of legal regulations.
  5. Parties can agree on a no-cure no-pay basic payment. Payment terms and fees are agreed in the underlying contract.

Payments and Payment Terms

  1. A reservation can be made by phone, email or online.
  2. When registering for a training that may or may not consist of one or more meetings, meetings, programs or events, it is described what a participant can expect and what the possible special or additional provisions are.
  3. You will receive a reservation confirmation by email upon receipt of your full payment with details of the venue, start times and other relevant details. If you have not received this within 48 hours of making your reservation and full payment, please contact our office on +31 650677501 or send an email to: info@studiopantarhei.nl
  4. The client has paid the full amount:
    • From an event or workshop or training for multiple participants for an organization, company or person: within 14 days after the reservation of the workshop or event, but no later than 14 days before the event or workshop;
    • From a ticket to a public event or public workshop or training, directly upon booking;
    • From a coaching session, coaching program or mentoring program, no later than the day before the start of the program. Example: Monthly subscription fees for the mentoring program are due before the first of the month.
  5. Payment terms are considered fatal payment terms. This means that if the client has not paid the agreed amount by the last day of the payment term at the latest, he is in default by operation of law, without Studio Panta Rhei having to send the client a reminder or notice of default.
  6. Studio Panta Rhei reserves the right to make a delivery conditional on immediate payment or to demand sufficient security for the total amount of the services or products.
  7. Products or programs, sessions, training courses, events or workshops are paid for immediately via a link in the (online) store or by means of an invoice or by means of a sent payment link.
  8. In the event of late payment, the client is obliged to reimburse reasonable judicial and extrajudicial collection costs to Studio Panta Rhei.

Cancellation and Changes

  1. If the participant does not attend the training or coaching or mentoring program or participates in part, there is no right to a refund of previously made payments. For early payments by participants of events and workshops, the following conditions apply:
    • If the event or workshop takes place later than 14 days after payment, cancellation is only possible the first 14 days after payment until no later than 14 days before the event and a full refund will be made; 
    • If the event or workshop takes place within 14 days of payment, no cancellation or refund of the event or workshop is possible.
  2. Studio Panta Rhei does not offer catch-up sessions for a participant who is unable to attend a meeting, unless this has been explicitly indicated in writing before the start of the program. Studio Panta Rhei also has no repayment obligation if a client/participant has not attended one or more meetings – for whatever reason.
  3. For one-off public gatherings, the purchased tickets are transferable to another person provided that they meet the applicable general terms and conditions of Studio Panta Rhei, plus any additional such as any age requirements, any other predetermined conditions and the willingness of this person to cooperate in a respectful manner with the program and/or event. For this you can contact: info@studiopantarhei.nl This alternative is only available if the client submits a request to Studio Panta Rhei in time, but no later than 48 hours before the date of the start of the meeting/event. Requests may also be submitted later, Studio Panta Rhei does not guarantee that this request can be processed in time.
  4. Rescheduling an appointment for a coaching or mentoring program up to 24 hours before the start of the appointment is free of charge. If you cancel or change an appointment within 24 hours before the start of the appointment, Studio Panta Rhei may charge you cancellation costs, such as travel and accommodation costs and a time compensation fee of € 100, – including 21% VAT. For this you will receive an invoice that must be paid within 7 days. These costs are in addition to the regular costs incurred in the context of a coaching program.
  5. Studio Panta Rhei reserves the right to change the dates and locations of workshops, (online) training courses, workshops, seminars and events. Studio Panta Rhei reserves the right to change the trainers, course content, location or change it to an online meeting at any time or cancel it without any liability. Because cancellation only happens in extreme necessity or obligation on the part of the government, Studio Panta Rhei will do everything in its power to find a suitable alternative for the situation that has arisen. If you do not agree with the alternative offered in the event of cancellation, you are entitled to a refund of the costs paid if the ticket was purchased directly from Studio Panta Rhei.
  6. Studio Panta Rhei reserves the right to change the dates of appointments for the coaching or mentoring program.
  7. Studio Panta Rhei will inform the clients as soon as possible of important changes as mentioned in this paragraph.
  8. Changed meetings, training courses, seminars, programs and events by Studio Panta Rhei do not entitle you to a refund of the purchase price.

Disclaimer & Recordings

  1. All clients/participants fill in a disclaimer before attending a workshop, training or event when Studio Panta Rhei deems this appropriate or appropriate. Acceptance is at its own discretion and Studio Panta Rhei reserves the right to refuse admission to anyone without giving any reason whatsoever.

    The workshop/training/event/program may contain (adult) language that some individuals may find offensive. No audio or video recording of the participants is allowed without the explicit consent of those involved. All performances are protected by Dutch and international copyright law. Studio Panta Rhei reserves the right to use recordings for personal training, online training, marketing and website purposes.

    By attending a workshop/training or other public programs of Studio Panta Rhei, the client/participant consents to disclosure of the photography, audio recording, video recording of his/their participation in the publication, exhibition or reproduction for news, webcasts, promotional purposes, TV broadcasts, advertisements, training courses and inclusion on websites. The participant releases Studio Panta Rhei and its officers, employees and all persons involved from any liability in connection with taking, recording, digitizing or publishing interviews, photographs, computer images, video and/or sound recordings. These images, sound recordings, or images with sound recordings may be used for promotional purposes.

    By participating in a coaching or mentoring program or online training, the participant gives permission for audio or video recording. The aim is that these conversations can be listened to or re-watched by the participant and Studio Panta Rhei to learn from these recordings. Listening to these recordings is part of the coaching program of Studio Panta Rhei from which it is not possible to deviate. The individual recordings of customized coaching or mentoring programs will not be made public without express written permission. De-identified pieces of text from the recordings may be used publicly for information and promotional purposes, if this could potentially help others who are in the same situation.

    By entering the event site or coaching venue, you waive any rights you may have to any claims for payment or royalties associated with any exhibition, streaming, webcast, television broadcast, or other publication of these materials, regardless of the purpose or sponsorship of such exhibits, broadcasts, webcast, podcast, vlog, or other publication.

  2. The address Zomereik 43, The Hague is secured with cameras for security measures. There are no cameras that you can expect not to be visually observed, such as in the toilet or bathroom or in the coaching room. In some coaching sessions, it is agreed that the coaching session(s) will be recorded with a camera, so that they can be reviewed afterwards. This method promotes the acceleration of the learning and desired transformation process.

  3. The client may ask for an audio or video recording on their own phone to protect their own physical safety during a guided meditation session in which the body of the client (clothed) is touched. This recording may be kept for personal use and is under the copyright of Studio Panta Rhei.

  4. Studio Panta Rhei is in no way responsible for any injury, injury or other damage that a participant may incur before, during or after a workshop, training, coaching or mentoring program offered by Studio Panta Rhei. Studio Panta Rhei is also not liable for damage to or loss of personal property due to any cause whatsoever, occurring before, during or after a workshop, training, coaching or mentoring program offered by Studio Panta Rhei. Participants are responsible for observing appropriate precautions to prevent harmful incidents. Participating in Studio Panta Rhei’s activities can be mentally impactful. That is why it is important to take sufficient rest time after participating in activities or coaching sessions before you participate in traffic again as a participant.
  5. If the participant does not want to participate in visual recordings, Studio Panta Rhei can be contacted in advance (before payment has been made) to find out if a suitable solution can be found. In all other cases, Studio Panta Rhei advises to take care of staying out of the picture.
  6. All clients must complete a disclaimer and a coaching intake form before any coaching or mentoring program with Studio Panta Rhei. Precisely because this form of coaching and mentoring is about interpersonal relationships in an intimate area where there is one-on-one contact, it is important that all people involved, including the coach/mentor, must have confidence in the success of this process. Studio Panta Rhei opts for careful consideration, but it remains human work and therefore a subjective consideration whether Studio Panta Rhei hires someone as a participant in a workshop, event or coaching or mentoring program. Acceptance is at our own discretion at this time, and Studio Panta Rhei reserves the right to refuse participants for any reason. This says nothing about whether the participant is not suitable for coaching in general, but whether or not the potential participant fits the offer offered by Studio Panta Rhei according to Studio Panta Rhei’s estimate at that moment.

Interview Disclaimer

  1. If you are interviewed by Studio Panta Rhei, you consent to any audio recording, publication, exhibition or reproduction that is used for news, webcasts, promotional purposes, TV broadcasts, advertisements, training courses and recording on websites. You release Studio Panta Rhei, its officers, employees and all persons involved from any liability in connection with taking, recording, digitising or publishing interviews and recordings. By being interviewed by Studio Panta Rhei, you waive any rights you may have to any claims for payment or royalties in connection with any exhibition, streaming, webcast, television broadcast, or other publication of these materials, regardless of the purpose or sponsorship of such exhibits, broadcast, webcast, or other publication(s).

Etiquette

  1. Studio Panta Rhei assumes a healthy and mature manners within the group. Participants should be aware that it is important to be able to respect and guard boundaries well. Only a clear ‘yes please’ is consent for intentional, emphatic physical contact. In case of the slightest doubt as to whether there is (still) consent, any physical contact must be stopped immediately. If a participant is unsure whether these agreements work for the participant, Studio Panta Rhei advises to contact them in advance for consultation.
  2. Studio Panta Rhei reserves the right to terminate your participation at any time. For this, the participant receives a personal statement that is binding.
  3. Studio Panta Rhei can never be held liable for any damage suffered by a participant during or through a visit to the chosen event or location.
  4. All damage to third parties or to Studio Panta Rhei caused by a participant must be compensated by this participant.

Consequences of Late Payments

  1. If the client does not pay within the agreed period, Studio Panta Rhei has the right to charge an interest rate of 1% per month from the day that the client is in default, whereby part of a month is counted as a whole month.
  2. If the client is in default, he or she also owes extrajudicial collection costs and may be obliged to pay any compensation to Studio Panta Rhei.
  3. The collection costs are calculated on the basis of the compensation for extrajudicial collection costs.
  4. If the client does not pay on time, Studio Panta Rhei can suspend the obligations until the client has fulfilled the payment obligation.
  5. In the event of liquidation, bankruptcy, seizure or suspension of payments on behalf of the client, the claims of Studio Panta Rhei against the client are immediately due and payable.
  6. If the client refuses to cooperate with the execution of the agreement by Studio Panta Rhei, it is still obliged to pay the agreed price to Studio Panta Rhei.

Ownership and Quality of Information

  1. Legal and beneficial property rights to all intellectual property rights that exist in all documentation, data, know-how, methods and concepts used or developed by us in providing the services will be and remain the property of Studio Panta Rhei.
  2. All conditions or warranties (whether expressed or implied by law or general law or arising out of conduct or any prior course of conduct or usage or use or otherwise) with respect to the quality and content of the materials and services provided by Studio Panta Rhei or their applicability for a particular purpose (even if that purpose is expressly or implicitly made known to us) are expressly excluded. The exception to this is if a condition or warranty is explicitly stated by Studio Panta Rhei for a specific offer or product.

Promotion and Advertising

  1. Studio Panta Rhei uses paid promotions, posts and advertising on (social) media and otherwise, to get attention for its mission: ‘Love in freedom in your own unique way for a long time’, and to increase its market position.

Right to Return Goods

  1. As soon as the client is in default, Studio Panta Rhei has the right to invoke the right to repair with regard to the unpaid products delivered to the client.
  2. Studio Panta Rhei invokes the right to rectification by means of a written or electronic notice.
  3. As soon as the client has been informed of the claimed right of reclamation, the client must immediately return the relevant products to Studio Panta Rhei, unless the parties have agreed otherwise in writing.
  4. The costs for collecting or returning the products are for the account of the client.

Termination of Agreement

  1. The agreement is terminated if:
    1. The event/workshop/training has ended.
    2. the coaching program is complete.
    3. the mentoring program has been discontinued.
    4. the products have been delivered and the warranty has expired.
  2. Studio Panta Rhei reserves the right to terminate participation. The participant will receive a personal statement for this. Such a decision is binding. Such a decision cannot be appealed and there is no right to a refund of payment and/or costs incurred.

Questions

  1. For questions, compliments or complaints about the terms and conditions, privacy statement, cookie policy or products or services of Studio Panta Rhei, please contact: info@studiopantarhei.nl
  2. Publicly given reviews on Google or other websites or means of publication are also shown via a link or via another visual means, for example a print screen, on the website(s) or other (public) information carriers of Studio Panta Rhei if this supports our mission.

Complaints

  1. Things may go differently in the services of Studio Panta Rhei than desired, intended or expected. In that case, a feeling of dissatisfaction or dissatisfaction may arise about a certain situation or incident that has led to this.
  2. A ‘complaint’ is an expression of dissatisfaction or dissatisfaction by a person, the ‘complainant’, about:

    • the conduct or omission of an employee, volunteer, collaborating organization or the owner of Studio Panta Rhei;

    • a product or service of Studio Panta Rhei.

  3. If there is dissatisfaction or dissatisfaction as mentioned above, Studio Panta Rhei counts on the complaint to be made known in writing to Studio Panta Rhei itself as soon as possible, but in any case within 7 days after the incident that led to this experience or perception, so that together it can be examined whether this situation can still be resolved to the satisfaction of the complainant within reasonableness.
  4. Conditions for declaring a complaint admissible:

    • The complaint must have directly harmed the interest of the complainant.

    • The complaint relates to a product, service or treatment by an employee, a volunteer or by the owner of Studio Panta Rhei himself.

    • The complaint must be submitted in writing to Studio Panta Rhei within 7 days of the incident, insofar as no legal period is set that takes precedence.

  5. The written complaint states:

    • A brief description of the incident to which the complaint relates.

    • The date of sending the complaint and the date and time of the incident.

    • The date of sending the complaint and the date and time of the incident.

    • Name and/or names of witness(es).

    • Factual description of the incident and the complaint.

    • The name and contact details of the complainant.

    • The name of the person(s) who caused the complaint.

    • The names and contact details of any witnesses.

    • Other factual data that are important for the complaint.

  6. Studio Panta Rhei trusts that the complainant will come to Studio Panta Rhei to find a suitable solution that is within the possibilities of Studio Panta Rhei. Studio Panta Rhei will get back to the complainant as soon as possible to make an appointment for a personal meeting, but in any case there will be a proposal for an appointment within two weeks.
  7. The complainant is responsible for checking whether the complaint has also reached Studio Panta Rhei. For example, but not exclusively: call to ask if, for example, the email or letter has arrived.
  8. After receiving the official letter, Studio Panta Rhei will respond to the complainant in writing and stating reasons, within six weeks, unless there are legal deadlines for this, in which case these will take precedence.

Intention & Inclusivity

Studio Panta Rhei intends to be lovingly inclusive, particularly but not exclusively with regard to gender identity, love relationship forms, sexual preferences and physical abilities, based on the belief that everyone can love in their own unique way. With conscious consent, respect for age- and consciousness-appropriate behaviour. If improvements can be made here, Studio Panta Rhei would like to hear about it. At the same time, Studio Panta Rhei will take its own responsibility in this for the choices made at that time within the reasonable possibilities available. The coaching room at Studio Panta Rhei in The Hague is accessible on the first floor by stairs. It is possible to have the coaching session take place on the ground floor in the living room if indicated in time. There is also a toilet here. There is a threshold at the front door.

At the moment, Studio Panta Rhei does not have adapted material for people with a visual and/or auditory challenge. Please contact us for the possibilities.
